How to Cancel GST Registration — Process, Reasons & Consequences

When to Cancel GST Registration

I processed 100+ GST cancellations in Delhi. The key: all pending returns must be filed first. You can cancel your GST registration when:

  • Business has been discontinued — permanently closed
  • Turnover has fallen below threshold — and you no longer wish to be registered
  • Business transferred — sold or merged with another entity
  • Change in constitution — leading to new registration
  • Death of sole proprietor — legal heir must apply
  • Registration obtained illegally — voluntary cancellation
Official Reference: Section 29 of the CGST Act 2017 provides for cancellation of registration. Rule 21-24 of CGST Rules prescribe the procedure. The proper officer may also cancel registration suo moto under Section 29(2) if returns are not filed for 6 consecutive months.
📍 Real Example — Business Closure — Chandni Chowk Shop
A textile shop owner in Chandni Chowk decided to close his business. Before applying for cancellation, I helped him: (1) File all pending GSTR-1 and GSTR-3B returns (3 months pending), (2) Pay outstanding tax of ₹1,20,000 + interest of ₹8,100, (3) Reverse ITC on stock worth ₹2,50,000 (₹45,000 ITC reversal). Only after clearing all dues could we apply for cancellation.

Step-by-Step Cancellation Process

  1. File all pending returns — GSTR-1, GSTR-3B, CMP-08 for all pending periods
  2. Pay all outstanding tax — including interest and penalties
  3. Login to gst.gov.in → Services → Registration → Application for Cancellation
  4. Select the reason for cancellation
  5. Enter the date from which cancellation is desired
  6. Upload supporting documents — business closure proof, death certificate, etc.
  7. Submit application using DSC/EVC
  8. Proper officer processes within 30 days
  9. Order issued — GSTIN cancelled via FORM GST REG-19
⚠️ Common Mistake: The most important step: FILE ALL PENDING RETURNS BEFORE APPLYING. The portal will not allow cancellation if there are unfiled returns. I have seen businesses with 12+ months of unfiled returns — they must file all 12 returns (with late fees) before cancellation. This can cost ₹1,80,000+ in late fees alone!

Handling Pending Returns Before Cancellation

  • GSTR-1: File for all pending periods — even nil returns
  • GSTR-3B: File with tax payment + interest + late fees
  • ITC on stock: Must be reversed under Section 18(3) for stock and capital goods on hand
  • E-way bills: Ensure no pending e-way bills
📍 Real Example — ITC Reversal on Cancellation — Dwarka Business
A registered business in Dwarka with ₹5 lakh stock and ₹3 lakh capital goods (computer, furniture) decided to cancel. ITC to reverse:
• ITC on stock: ₹5,00,000 × 18% = ₹90,000
• ITC on capital goods: Reduced by 5% per quarter of remaining life. Computer bought 8 quarters ago (useful life 16 quarters) → 50% value = ₹1,50,000 × 18% = ₹27,000
• Total ITC reversal: ₹1,17,000 — must be paid before cancellation

Revocation of Cancellation

If your GST is cancelled by the proper officer (suo moto) and you disagree, you can apply for revocation within 30 days of the cancellation order:

  1. Login to gst.gov.in → Services → Registration → Application for Revocation
  2. Provide grounds for revocation
  3. Submit within 30 days of cancellation order
  4. Proper officer reviews and may restore the registration

Consequences of Not Cancelling

  • Continued compliance burden — monthly returns, even if no business
  • Late fees accumulation — ₹50/day per return = ₹3,000/month for 2 returns
  • Suo moto cancellation — department cancels after 6 months of non-filing, but you lose the option to choose the effective date
  • ITC loss for buyers — your GSTIN becomes invalid, buyers cannot claim ITC on your past invoices

How long does GST cancellation take?
After submitting the application with all pending returns filed, the proper officer must process it within 30 days. If the officer does not process within 30 days, the cancellation is deemed approved. In practice, it takes 15-45 days.
Can I use my GSTIN after applying for cancellation?
No. Once you apply for cancellation, you cannot issue invoices with the GSTIN or file new returns (except for the period before the cancellation date). However, you must continue filing returns for the period up to the cancellation date.
What happens to ITC on cancellation?
Under Section 18(3), you must reverse all ITC on stock and capital goods held on the date of cancellation. Pay the reversed amount through GSTR-3B before applying. No ITC can be carried forward after cancellation.
